Governance

Board

The Solarplaza Foundation’s board consists of:

Nicola Belafatti - President
Ilse van Vliet - Treasurer
Tom van der Linden - Secretary

This Board operates independently from the Management Board of Solarplaza. Despite their (initial) position as main benefactor, Solarplaza can not influence or dictate decision-making and resource-allocation of the foundation. A foundation Board Member can not manage the foundation’s resources as personal resources.

This criterion ensures that the foundation remains independent in relation to donators and designated receivers of donations. A natural person or lawful person in the position of board member can not hold a majority in the decision-making surrounding the resources of the foundation. To safeguard the independence of the foundation, the board consists of three members with equal voting rights. The Board will meet when deemed necessary, though at least once per year to confirm the annual financial reports. Board members communicate through email, phone and direct messaging services to keep each other updated on developments.

Advisory Board

Additionally, the Solarplaza Foundation also employs an Advisory Board. Advisory Board members contribute with their network, experience, ideas and inspiration, but hold no authority, have no voting rights, can not influence or dictate policy or allocation of resources, and are not present at management board meetings. Separate meetings or calls with Advisory Board members can be scheduled at any given time. The board of advisors will contain up to 3 members, which can be expanded upon at any given time.

We have welcomed Johan van de Ven to the Advisory Board in May 2020. With his broad business experience, educational background in PV systems, and involvement in the HIVOS Foundation, he brings a wealth of experience to bring the Solarplaza Foundation to the next level.

Supervisory Board

Lastly, the Solarplaza Foundation also employs a Supervisory Board, providing financial insight, oversight and strategic advice. The Supervisory board is made up out of Edwin Koot, the founder of Solarplaza, and Roebyem Anders, board member of Sungevity, two international solar veterans.

Roebyem Anders - Supervisory Board Member

Remuneration policy

  • The Board Members do not receive any remuneration for their work, except for a possible not excessive attendance fee. If a Board Member also fulfils an executive function, the Supervisory Board may award the Board Member a remuneration for that work.

  • No remuneration shall be awarded to the members of the Advisory Board or Supervisory Board. Expenses shall be reimbursed to the members of the Advisory Board and Supervisory Board on presentation of supporting documents.
